Senior Corporate Counsel
We are seeking a Senior Corporate Counsel – Commercial Contracts & Legal Affairs to take ownership of
our commercial contracting, legal negotiations, and corporate legal matters.
The primary focus of this role is to work closely with our business development, sales, product, and
leadership teams to draft, review, negotiate, and finalize commercial agreements with enterprise
customers and strategic partners. We are looking for someone who understands that legal expertise
should enable business growth, not slow it down.
The ideal candidate will be a confident negotiator, a practical problem-solver, and a trusted legal advisor
who can protect the company's interests while building positive, long-term commercial relationships. In
addition to commercial contracting, the role will support corporate governance, internal legal policies,
compliance, intellectual property protection, and organizational risk management.
Key Responsibilities
1. Commercial Contracts & Negotiations — Primary Focus
● Independently draft, review, negotiate, and finalize commercial contracts with enterprise
customers, partners, resellers, and vendors.
● Manage Master Services Agreements (MSAs), Statements of Work (SOWs), SaaS Agreements,
Software Licensing Agreements, NDAs, SLAs, Data Processing Agreements, and other
commercial contracts.
● Lead contract negotiations with customer and partner legal teams, ensuring balanced and
commercially practical outcomes.
● Work proactively with sales and business development teams to accelerate deal closures while
protecting company interests.
● Identify contractual risks and propose practical, commercially viable alternatives.
● Negotiate key provisions relating to liability, indemnification, intellectual property, payment terms,
warranties, confidentiality, data protection, and termination.
● Ensure contractual commitments align with the company's delivery capabilities, commercial
objectives, and financial interests.
● Establish standardized contract templates, negotiation guidelines, and approval processes.
● Take end-to-end ownership of contracts from initial discussions through successful execution.
2. Business Partnership & Legal Advisory
● Act as a trusted legal advisor to executive leadership and cross-functional teams.
● Provide practical legal guidance that balances commercial opportunities with appropriate risk
protection.
● Support strategic customer relationships, technology partnerships, reseller arrangements, and
international business agreements.
● Participate directly in complex commercial negotiations and help resolve contractual
disagreements constructively.
● Proactively identify potential legal issues and recommend solutions before they impact business
operations.
● Communicate legal risks and recommendations clearly to business stakeholders.
● Demonstrate sound judgment in determining when to negotiate, compromise, escalate, or
challenge contractual requirements.
3. Intellectual Property & Technology Protection
● Safeguard the company's proprietary software products, technologies, source code, frameworks,
and intellectual property.
● Structure and review software licensing, SaaS subscription, technology integration, and
partnership agreements.
● Ensure clear contractual provisions governing ownership of intellectual property, customer
deliverables, and third-party technology.
● Advise on legal considerations relating to AI solutions, data privacy, cybersecurity, and technology
services.
● Support the protection of confidential information, proprietary assets, and commercially sensitive
business information.
4. Corporate Legal Governance & Internal Policies
● Review and strengthen internal legal policies, agreements, and governance practices.
● Support the development of employee confidentiality agreements, intellectual property
assignment agreements, employment-related contracts, and vendor agreements.
● Identify and mitigate legal risks associated with company operations and business relationships.
● Support compliance with applicable corporate, commercial, employment, privacy, and intellectual
property laws.
● Assist leadership in managing legal disputes, contractual claims, and other corporate legal
matters.
● Coordinate with external legal advisors when specialized or jurisdiction-specific expertise is
required.
